Matrix Systems Agreement • Version 2.1
This Terms of Service agreement ("Agreement") is a legally binding contract between Matrix Systems ("we," "us," or "our") and the individual or entity ("User," "you," or "Customer") that elects to utilize the Matrix Discord Application and its associated web services. By authorizing the application, you acknowledge that you have read, understood, and agreed to be bound by every clause herein.
You represent and warrant that you are at least 13 years of age. Furthermore, if you are integrating Matrix into a Discord Guild, you represent that you possess the necessary administrative permissions ("Manage Server" or "Administrator") to bind that Guild to these terms. Matrix is not responsible for unauthorized installations by staff members lacking appropriate seniority.
The Service, including its proprietary algorithms, command structures, branding, custom code, and user interface, is the exclusive property of Matrix Systems. Users are granted a limited, non-exclusive, non-transferable license to utilize the Service. Any attempt to reverse-engineer, clone, or redistribute the Service's assets without express written consent will result in immediate termination of access and potential legal escalation.
While Matrix strives for a 99.9% uptime, the Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted service. Downtime may occur due to Discord API fluctuations, Roblox API updates, or scheduled maintenance. Matrix Systems is not liable for any community disruption or "RP session" failures occurring during these windows.
The User agrees to utilize Matrix solely for lawful purposes. Prohibited conduct includes:
Matrix Systems shall not be liable for any damages arising from moderator error. If your staff member accidentally bans your entire player base, Matrix is the tool, not the actor. You agree to indemnify and hold Matrix harmless from any third-party claims resulting from your community's internal management decisions.
Payments for Matrix Elite are processed through authorized third-party gateways. All sales are final. While we may offer refunds in exceptional circumstances (e.g., duplicate billing), we reserve the right to deny refund requests if the User has utilized the premium features for more than 24 hours.
We reserve the unilateral right to terminate access to the Service for any reason, including but not limited to, a breach of these Terms. Upon termination, all your data may be deleted from our active databases without prior notice.
